A day in your life as an Attorney
Corporate Counsel provides legal services of moderate complexity.  Duties include rendering legal advice to management and staff on a variety of issues; implementing the Company’s legal risk management program; interpreting laws and regulations; preparing, negotiating and interpreting legal documents; negotiating and documenting vendor and revenue contracts; coordinating the work of outside attorneys; assisting in dispute resolution, civil litigation and responses to regulatory inquiries; and assisting with business development, corporate communications and government relations.  Corporate Counsel I reports to the Legal Division Manager.  Work is generally assigned to this position for particular assigned areas and is performed under general supervision, with latitude for the use of initiative and independent professional judgment.  Assists in business unit’s compliance with applicable laws, regulations, regulatory requirements and Bank policies and procedures, including but not limited to those related to Fair Banking, Anti-Money Laundering laws and regulations, Bank Secrecy Act and USA PATRIOT Act. 


We’ll give you these important responsibilities…

  • Handles moderate-value (less than $1 million) projects and issues, the drafting of routine legal documents, and assists in the development and implementation of corporate policies.  Examples of this type of work include
    • Drafting, editing and reviewing legally-compliant customer agreements and disclosures for products and services offered by the Company
    • Writing, negotiating and providing legal support in administering vendor and revenue-producing contracts.
    • Reviewing, revising, negotiating and providing legal support in administering sales, leases, subleases, and other dispositions of Company real property
    • Reviewing and revising routine lending, leasing, subordination, securitization, trust, corporate treasury and other documents for business units
    • Preparing, reviewing and editing simple bank regulatory filings (e.g., branch openings and relocations.
    • Developing, recommending and reviewing legal aspects of Company policy and procedures.
  • Serves as an effective and ethical advocate for the Company in moderate-value and sensitive disputes and regulatory investigations.  Examples of this type of work include:
    • Supervising and participating in investigations of alleged misconduct by officers and employees.  Assuring that appropriate evidence is gathered and preserved.
    • Responding to simple inquiries and complaints from customers and their attorneys.
    • Assessing the legal, reputational and other risks posed by claims.  Advocating the Company’s position in negotiating resolution of disputes with customers, regulators and vendors.
    • Coordinating the work of outside lawyers in lawsuits, administrative hearings and other legal proceedings where the Company is involved.  Advancing the Company’s legal rights by the initiating and pursuing lawsuits, administrative hearings, arbitration cases, appeals and other proceedings.  Assisting outside counsel representing the Company by gathering documents and locating witnesses
    • Protecting the Company’s trademarks and service marks by assuring proper registration, maintenance and defense of marks at the state and federal levels
  • Delivers sound, timely and cost-effective legal advice to enable the Company to meet its strategic and operational objectives. Examples of this type of work include
    • Providing counsel on company policies, and compliance with state, local and federal laws, on all aspects of financial institutions law and corporate compliance.
    • Performing legal research and providing advice related to proposed business initiatives, including entry into new lines of business, expansion into new geographic areas, and mergers and acquisitions. 
    • Providing legal support related to development, implementation and maintenance of products and services.
    • Analyzing proposed legislation and working with the Legal Division Manager and Government Relations to formulate responses and coordinate lobbying effort with trade groups.
    • Continually reviewing changes in laws and regulations, and advising business units which may be affected.
    • Assisting the Legal Division Manager and Corporate Communications in the development of internal and external messages related to disputes, legal issues and media inquiries.
    • Counseling Human Resources and business unit management on employee disputes, benefits, and potential disciplinary actions.
    • Advising Private Client and Trust officers on interpretation and implementation of routine trust, estate planning and retirement fund documents.  
    • Providing training to compliance officers and business unit management on legal risk, compliance and legislative developments.
    • As needed, counseling on the differences between legal requirements in Hawaii and the other jurisdictions in which the Company operates, and assisting in harmonizing policies, procedures, and customer agreements/disclosures across the Company’s geographic area.
  • Actively engages business and support unit managers and staff in information-sharing, team-building and consensus development related to legal risk identification, avoidance and remediation.
  • Serves as legal risk management representative at operations-level meetings (e.g., division manager meetings). 
  • Establishing and maintaining excellent communication and mutually-beneficial relationships with outside counsel.  Responsible for coordinating work with and assisting outside attorneys.  Assists sales units in developing law firms and lawyers as clients of the Company.
  • Performs all other miscellaneous responsibilities and duties as assigned.

  • Juris Doctor or equivalent degree from an accredited law school. 
  • Must be a member in good standing of the Hawaii State Bar Association.



  • Minimum of six years of work experience as a practicing attorney with a law firm, corporation or government agency or equivalent work experience.


Technical Skills:

  • Demonstrated proficiency with personal computers in a networked environment and Microsoft applications (Outlook, Word, Excel, and PowerPoint) or similar software.
  • Knowledge of or ability to use Bank software and systems.


Other Job Qualifications: 

  • This position requires the exercise of legal expertise and judgment.
  • Must be able to proactively participate in the completion of legal projects or cases involving significant consequences and/or expenditures.
  • Excellent communications skills, particularly to assist a non-legal audience in understanding complex legal and regulatory requirements. 
  • Outstanding client management skills, with an ability to inspire confidence and trust with individuals working in a variety of disciplines.
  • Must also have good judgment, initiative and the ability to carry out complex projects.
  • Business-oriented approach to problem-solving, tempered by an appreciation for legal complexity and risk. 
  • Clear understanding and adherence to ethical principles, Company values, code of conduct and policies.
  • Able to work flexible hours including holidays, weekends and evenings as needed or assigned.
  • Must be able to provide own transportation or to operate a vehicle with a valid driver’s license, and commute as required. 
  • Travels by air as required. 
  • Lifts, moves carries and transports items up to 20 lbs.
